User Agreement

These Terms & Conditions (“Terms” or “User Agreement”) constitute a legally binding agreement between JAGCART MEDIA (“JAGCART”, “we”, “us” or “our”), a sole proprietorship concern registered under the Maharashtra Shops & Establishments Act, having its principal place of business at 301-C, 3rd Floor, Harmony Tower, Netaji Subhash Road, Court Naka, Thane (West), Maharashtra – 400 602, India, and any individual, company, partnership, organisation, or other legal entity (“User”, “you” or “your”) accessing or using YantraSource™, including its website, sub-domains, mobile website, applications, and related services (collectively, the “Site”).

By accessing, browsing, registering on, or transacting through the Site, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, the Privacy Policy, Cookie Notice, and any other policies, guidelines, or disclosures made available on the Site (collectively, the “Policies”).

If you do not agree with these Terms or any applicable Policies, you must discontinue use of the Site immediately.

1. DEFINITIONS

For purposes of these Terms, the following definitions apply:

1.1 “Account”

A user profile created on the Site to access features or functionality that require registration.

1.2 “Buyer”

Any User who purchases, orders, or expresses an intention to purchase goods or services offered through the Site.

1.3 “Seller”

JAGCART MEDIA or any third-party seller that lists, offers, or sells goods or services through the Site.

1.4 “Marketplace”

The online marketplace and facilitation services provided by JAGCART through the Site, enabling Buyers and Sellers to discover, communicate, and/or complete transactions.

1.5 “Product”

Any machining-related product, equipment, component, material, accessory, or ancillary service displayed, offered, or made available through the Site.

2. ELIGIBILITY

2.1 The Site may be used only by:

a. individuals who are at least 18 years of age and legally competent to enter into contracts under applicable Indian law; or

b. duly incorporated, registered, or constituted entities acting through an authorised representative who has the authority to bind such entity.

2.2 JAGCART reserves the right, at its sole discretion and subject to applicable law, to refuse access, suspend, restrict, or terminate any Account that does not satisfy these eligibility requirements.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Certain Site features, including placing orders, posting reviews, or accessing restricted functionality, may require you to create an Account.

3.2 You agree to provide information that is accurate, complete, current, and not misleading and to update such information whenever necessary.

3.3 You are solely responsible for maintaining the confidentiality and security of your Account credentials and for all activities conducted through your Account.

3.4 If you become aware of any unauthorised access or use of your Account, you must notify JAGCART immediately through the designated contact details provided on the Site.

3.5 JAGCART shall not be responsible for any loss or damage arising from your failure to maintain the confidentiality of your Account credentials.

4. ROLE OF JAGCART MEDIA

4.1 For Products or services listed by third-party Sellers, JAGCART operates as an online marketplace/intermediary, as applicable under Section 2(w) of the Information Technology Act, 2000 and applicable provisions of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

4.2 Unless expressly stated otherwise, any contract for the purchase and sale of a Product is entered into directly between the Buyer and the relevant Seller. JAGCART is not the Buyer, Seller, or agent of either party unless expressly stated.

4.3 Except where JAGCART is the Seller of record, JAGCART does not:

a. endorse or guarantee any Seller;

b. warrant the quality, accuracy, suitability, legality, availability, or safety of any Product;

c. guarantee the performance or conduct of any Seller; or

d. assume responsibility for any default, omission, delay, or breach by a third-party Seller.

5. PRODUCT LISTINGS, PRICING AND AVAILABILITY

5.1 Product descriptions, specifications, images, technical information, availability, and prices may be provided by Sellers or obtained from publicly available sources.

5.2 Although reasonable efforts may be made to maintain accurate information, JAGCART does not warrant that all Product information is complete, accurate, current, or error-free.

5.3 Prices are displayed in Indian Rupees (INR) unless otherwise specified and will indicate whether applicable taxes, shipping charges, or other fees are included or payable separately.

5.4 Product availability may change without prior notice.

5.5 Where a Product becomes unavailable before dispatch, JAGCART or the relevant Seller may cancel the applicable order and provide a refund in accordance with the applicable refund policy.

6. ORDERS, PAYMENTS AND TAXES

6.1 By placing an order, you authorise JAGCART and/or its authorised payment service providers to process payment for the applicable order value, including applicable taxes, delivery charges, platform charges, and other disclosed fees.

6.2 Payment methods may include credit/debit cards, UPI, net banking, wallets, NEFT, RTGS, or other payment methods made available through the Site.

6.3 Payment processing shall be subject to applicable laws, including applicable Reserve Bank of India regulations, and the terms and conditions of the relevant payment service provider and issuing institution.

6.4 Where applicable, the Seller shall be responsible for issuing invoices, e-way bills, and complying with applicable GST requirements.

6.5 GST input tax credit, where applicable, shall depend upon the eligibility of the Buyer and the accuracy of the GST information provided by the Buyer.

6.6 JAGCART reserves the right to reject, cancel, or restrict an order where it reasonably believes that the order is fraudulent, unlawful, violates these Terms, or results from an obvious pricing, technical, or listing error.

7. SHIPPING, DELIVERY AND RISK OF LOSS

7.1 Delivery dates and timelines displayed on the Site are estimates and may vary depending on Product availability, Seller processing, logistics providers, location, force majeure events, and other circumstances beyond JAGCART's reasonable control.

7.2 Unless otherwise agreed in writing or required by applicable law, title to and risk of loss for a Product shall pass to the Buyer upon handover of the Product to the applicable carrier.

7.3 Buyers are advised to inspect Products promptly upon delivery.

7.4 Any shortage, visible damage, or discrepancy should be reported to the Seller and/or JAGCART within 48 hours of delivery, together with supporting evidence where reasonably required.

8. CANCELLATIONS, RETURNS AND REFUNDS

8.1 Cancellation and return eligibility may vary depending on the Product category, Seller, manufacturer warranty, and applicable return policy.

8.2 All cancellations, returns, replacements, and refunds shall be subject to applicable law, including the Consumer Protection (E-Commerce) Rules, 2020, where applicable.

8.3 To request a cancellation or return, you must follow the applicable process made available through the Site or contact JAGCART using the designated support channel.

8.4 Where a refund is approved, it will generally be processed to the original payment method within 7–10 working days, subject to applicable banking, payment gateway, and financial institution processing times.

9. USER CONTENT AND ACCEPTABLE CONDUCT

9.1 Users may submit reviews, comments, enquiries, photographs, feedback, and other materials (“User Content”) provided that such content is lawful, accurate, and does not infringe the rights of any third party.

9.2 By submitting User Content, you grant JAGCART a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise use such User Content in connection with the Site and JAGCART's business, subject to applicable law.

9.3 You must not:

a. upload or publish defamatory, obscene, abusive, hateful, threatening, harassing, fraudulent, or otherwise unlawful content;

b. impersonate another person or misrepresent your identity, authority, or affiliation;

c. introduce malware, viruses, malicious code, or other harmful material;

d. interfere with, disrupt, damage, or attempt to gain unauthorised access to the Site or its systems;

e. scrape, harvest, copy, extract, or systematically collect Site data without prior written authorisation;

f. circumvent security controls, authentication mechanisms, access restrictions, or fee mechanisms; or

g. use the Site for any unlawful or unauthorised purpose.

10. INTELLECTUAL PROPERTY

10.1 Unless otherwise stated, all content and materials available on the Site, including text, graphics, photographs, illustrations, interfaces, software, trademarks, logos, designs, layouts, databases, and other materials (“Content”), are owned by or licensed to JAGCART and are protected under applicable intellectual property laws.

10.2 Except as expressly permitted by these Terms or applicable law, you may not reproduce, copy, modify, distribute, publish, publicly display, transmit, sell, license, or create derivative works from any Site Content without prior written permission.

10.3 JAGCART grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site and its Content for lawful personal or internal business purposes.

11. PRIVACY AND DATA PROTECTION

11.1 JAGCART's collection, use, storage, disclosure, and processing of personal information is governed by the YantraSource™ Privacy Policy, which forms part of these Terms by reference.

11.2 By using the Site, you acknowledge that your personal data may be processed in accordance with the applicable Privacy Policy and applicable Indian data-protection laws, including the Digital Personal Data Protection Act, 2023, and applicable rules and regulations.

12. DISCLAIMER OF WARRANTIES

12.1 To the maximum extent permitted by applicable law, the Site, Content, Marketplace services, and Products are provided on an “as is” and “as available” basis.

12.2 Except where expressly provided or required by law, JAGCART disclaims all warranties, representations, and conditions, whether express or implied, including warranties relating to merchantability, fitness for a particular purpose, availability, accuracy, reliability, and non-infringement.

12.3 No advice, representation, information, or communication obtained from JAGCART shall create any warranty or representation that is not expressly stated in these Terms.

13. LIMITATION OF LIABILITY

13.1 To the fullest extent permitted by applicable law, JAGCART shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising from or relating to:

a. your access to or use of, or inability to access or use, the Site;

b. Products purchased through the Site; or

c. acts, omissions, conduct, representations, or content of third parties.

13.2 Subject to applicable law, JAGCART's aggregate liability arising from or relating to a particular transaction shall not exceed ₹10,000 (Indian Rupees Ten Thousand) or the amount actually paid by you for the disputed transaction, whichever is higher.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless JAGCART MEDIA, its proprietor, employees, representatives, contractors, and agents from and against any claims, proceedings, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to:

a. your breach of these Terms;

b. your violation of applicable law or any third-party rights; or

c. User Content submitted, uploaded, or published by you.

15. SUSPENSION AND TERMINATION

15.1 JAGCART may suspend, restrict, or terminate your Account or access to the Site, with or without prior notice where permitted by law, if:

a. you breach these Terms;

b. you violate applicable law;

c. your activities create a security, legal, or operational risk; or

d. JAGCART reasonably believes that continued access should be restricted.

15.2 Upon termination or suspension, any rights granted to you under these Terms may immediately cease, subject to provisions that are intended to survive termination.

15.3 Where applicable, you must cease using and delete any downloaded or copied Content that you are no longer authorised to retain.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 These Terms shall be governed by and interpreted in accordance with the laws of India.

16.2 Subject to any rights available to consumers under applicable consumer-protection legislation, including the Consumer Protection Act, 2019, the courts located in Thane, Maharashtra, shall have jurisdiction over disputes arising from or relating to these Terms or the Site, to the extent permitted by law.

16.3 Nothing in these Terms shall prevent either party from seeking urgent injunctive, interim, or equitable relief from a court having appropriate jurisdiction.

17. GRIEVANCE REDRESSAL

In accordance with applicable information-technology and e-commerce laws, JAGCART has designated a Grievance Officer to receive and address complaints relating to the Site and its services.

Complaints will be acknowledged within the period prescribed by applicable law, and JAGCART will endeavour to resolve them within the applicable statutory timeframe.

18. MODIFICATIONS TO THESE TERMS

18.1 JAGCART reserves the right to amend, update, or modify these Terms from time to time.

18.2 Where appropriate, material changes will be published on the Site together with an updated Effective Date.

18.3 Where required by applicable law, JAGCART may provide additional notice of material changes through e-mail or other appropriate communication channels.

18.4 Your continued use of the Site after the revised Terms become effective constitutes your acceptance of the updated Terms, subject to applicable law.

19. MISCELLANEOUS

19.1 Force Majeure

JAGCART shall not be responsible for any delay, interruption, or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of government, war, civil disturbance, strikes, technical failures, telecommunications failures, epidemics, or other force majeure events.

19.2 Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without JAGCART's prior written consent. JAGCART may assign or transfer its rights and obligations to a successor, affiliate, or entity acquiring the relevant business or assets, subject to applicable law.

19.4 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Notice, and other policies expressly incorporated by reference, constitute the entire agreement between you and JAGCART regarding your use of the Site and supersede prior communications or understandings relating to the same subject matter.

19.5 No Waiver

Failure or delay by JAGCART in enforcing any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
